BYLAWS
OF THE
BOARD OF EDUCATION
GLENBARD TOWNSHIP HIGH SCHOOL DISTRICT #87

Article I: Name and Legal Status
Section 1.
The Board of Education, Glenbard Township High School District #87, derives its legal status
and authority from the Constitution of the State of Illinois and the statutes enacted by the General
Assembly of the State of Illinois.
Section 2.
The Board acts as an agent of the State in providing school buildings and an educational program
in accordance with the laws and regulations of the State.
Section 3.
Decisions and actions of the Board have effect only when made or taken in proper session.
Individual members of the Board have no authority to bind or speak for the Board in any manner
except upon proper authorization by the Board.
Article II: Powers and Duties
The powers and duties of the Board shall be:
Section 1.
To establish the educational objectives of the schools.
Section 2.
To employ according to law qualified professional administrative and teaching personnel and
other personnel as might be needed in achieving the education objectives of the schools.
Section 3.
To establish policies, which will direct the Board, the administrative staff, the teaching staff, andthe school community in achieving the educational objectives of the schools.

Section 4.
To establish policies that will direct the administrative staff in the operation of the schools.
The Board recognizes and will seek to maintain the distinction between policy making, which
function is appropriate only to the Board as the legislative authority of the school district, and policy
implementation, which function is appropriately delegated to the Superintendent of Schools and the
administrative staff.
Section 5.
To review the recommendations and reports of the Superintendent pertaining to the performance of
the professional staff and other personnel in achieving the objectives of the school and in
implementing the policies of the Board.
Section 6.
To make every effort to provide the revenue necessary to achieve the educational objectives of the
schools.
Section 7.
To exercise those powers and to perform officially those duties required of or granted to the Board
by the laws and regulations of the State.
Article III: Members
Section 1.
The Board shall consist of seven members elected according to the laws and regulations of the State.
Section 2.
Whenever a vacancy occurs on the Board, the remaining members shall fill the vacancy according
to the laws and regulations of the State.
Article IV: Board Organization and Orientation
Section 1.
Board Reorganization
Within the time period prescribed by law, a meeting shall be held for the purpose of canvassing the
results and organizing the new Board. The following procedures shall be used to organize the Board
and elect new officers.
1. Following the canvass of the results of the School Board election, the old Board shall be
adjourned sine die.
2. The newly elected Board members shall be sworn in by the previous Board secretary.

3. The members of the new Board shall elect a President Pro Tempore from among the
incumbent Board members that were not up for reelection in accordance with the
procedures outlined in Subsections 4.a. through 4.d. below.
4. The President Pro Tempore shall preside over the election of the Board President using
the following procedures:
a. Any Board member may move that a particular Board member be elected
President.
b. If the motion is made, seconded and adopted, the President is elected.
c. If the motion made fails to receive a second, or does not pass, another motion is
then in order.
d. This procedure will continue until the President is duly elected by the affirmative
vote of a majority of the Board members present and voting on the proposal.
5. The newly elected President shall then preside over the election of the Vice President,
the Secretary, the Treasurer, and the Parliamentarian using the procedures outlined in
Subsection 4 above for each of these elections. The salary of the Secretary and the
Treasurer shall be established by the Board prior to the election by a motion adopted in
accordance with law.
Section 2.
Board Bylaws
1. A manual of Bylaws and all Policies currently in force shall be served to the Board prior
to the organizational meeting.
2. The Board shall review and adopt the Bylaws of the Board in a timely manner.
Section 3.
New Board Member Orientation
The Superintendent and incumbent Board members shall assist newly elected members to
understand the functions, procedures, and policies of the Board and the State laws governing
education.
Article V: Officers and Representatives
Section 1.
President
The President of the Board shall serve two years. The President shall preside at meetings, appoint
committees, and perform all other duties as prescribed by action of the Board and by the laws and
regulations of the State.

Section 2.
Vice President
The Vice President of the Board shall serve two years. The Vice President, in the absence of the
President, shall serve as President Pro Tempore and shall exercise the powers and perform the
duties of the President. In the absence of the President and the Vice President, the Board shall
appoint from its membership a President Pro Tempore.
Section 3.
Secretary
The Secretary of the Board shall serve two years and shall keep those records and perform those
duties as required by action of the Board and by the laws and regulations of the State. In the
absence of the Secretary, the Board shall appoint from its membership a Secretary Pro Tempore.
Section 4.
Treasurer
The Treasurer shall perform those duties as required by action of the Board and by the laws and
regulations of the State. If the Treasurer is a Board Member, the term of office shall be one year
without compensation. If the Treasurer is not a Member of the Board, the person appointed shall
not have a specific term of office, but serve at the pleasure of the Board. Compensation for an
appointed Treasurer shall be set by the Board.
Section 5.
Parliamentarian
The Board shall elect a Parliamentarian to serve two years who shall be consulted on questions
of parliamentary authority as they pertain to the conduct of meetings of the Board.
Section 6.
Representatives
The President, with the approval of the Board, may assign a member of the Board to act as Board
representative, liaison, or delegate when necessary.
Article VI: Meetings
Section 1.
Open Meetings
All meetings of the Board shall be conducted in full accordance with the laws and regulations of
the State pertaining to open meetings. The Board shall conduct its business in a manner, which
promotes full public knowledge of the deliberations and actions of the Board except where such
business is permitted or required to be conducted in executive session.

Section 2.
Organizational Meeting
The Board shall hold and conduct an organizational meeting in accordance with law and with
Article IV of these Bylaws. The officers of the Board shall be selected, a schedule of regular
meetings shall be established, and other duties as required by action of the Board and the laws
and regulations of the State shall be performed at the organizational meeting.
Section 3.
Regular Meetings
The Board shall hold at least monthly a regular meeting at which all necessary and lawful
business shall be conducted. The Board shall establish a schedule of regular meetings at its
organizational meeting, but such schedule may be altered by vote of the Board.
Section 4.
Special Meetings
The Board shall hold special meetings when necessary, provided such meetings are called in
accordance with the laws and regulations of the State. At special meetings, the Board shall not
take action except in relation to the purpose for which the meeting was called.
Section 5.
Adjourned Meetings
By vote of the Board, regular meetings may be adjourned to a later date at which time the Board
may conduct business included in the agenda of the regular meetings.
Section 6.
Informational Meetings
The Board may establish meetings as necessary for informational purposes. The Board shall not
take action on any business at an informational meeting.
Section 7.
Quorum
A majority of the full membership of the Board shall constitute a quorum unless otherwise
required by law. Unless otherwise provided by law, actions of the Board shall be considered
binding upon approval of a majority of the Board members voting on a measure at a meeting at
which a quorum is present. Roll call votes, in rotating alphabetical order, shall be used in
decisions involving the expenditure of District funds and other major issues of school policy.

Section 8.
Minutes
Written minutes of all Board meetings, whether open or closed, shall be kept in accordance with
the Illinois Open Meetings Act and all applicable law. Minutes of all organizational, regular,
special, and adjourned meetings shall be recorded by the secretary of the Board. The minutes of
the open portions of meetings shall be kept on file in the Board of Education office by the
Secretary during regular office hours. Minutes of all executive sessions shall be taken by the
Superintendent or the Vice President of the Board solely for the private use of the Board, except
otherwise provided by law.
Article VII: Board Meeting Agenda
Section 1.
Agenda Format
1. Regular Business Meetings
a. The agenda shall include the following items:

iv. Recognition of Students and Staff, when appropriate

b. The Board shall follow the order of business set up by the agenda unless the
order is altered by a majority vote of the members present.
c. The agenda shall always include a portion of the meeting devoted to remarks
by the public who wish to address the Board (Public Participation.) Such
remarks shall be in accordance with the provisions of the Policy on Public
Participation at Board of Education Meetings. The public will have an
opportunity to comment on specific action items following Board discussion
and prior to a vote by the Board. Only information or comments not
previously discussed should be introduced at this point on the agenda.
d. The agenda shall include a section for the adoption of "Consent Items."
i. "Consent Items" shall be those matters considered to be routine
in nature. Examples of routine items would include staff
employment, staff resignations, staff leaves, and appointments
to ongoing advisory committees, required legal resolutions,
donations to the district and school calendar.
ii. All "Consent Items" shall be acted upon in one motion to
conserve time and permit focus on other than routine matters.
iii. Upon the request of an individual Board member or the
superintendent, the President of the Board shall remove a
particular item(s) from the consent agenda and the item(s) shall
be considered separately following action on the consent
agenda.
iv. During that portion of the meeting devoted to "New Business,"
items of business not on the agenda may be discussed and, if a
majority of the Board agrees, acted upon.
2. Adjourned Meetings
The Board may find that the complexity, timing or volume of business is too great to
be handled within the time available at a regularly scheduled meeting and may
continue the meeting to a later date by a motion to adjourn the meeting to a specific
date and time. The Board will only conclude the business (agenda) of the regularly
scheduled meeting at an adjourned regular meeting.
3. Special Business Meetings
The Board may call special meetings as provided in Section 10-16 of The School
Code. The notice of the meeting shall state the purpose of the meeting and the Board
may only act on matters related to the purposes for which the meeting is called.
Public notice of any special meeting shall be given in accordance with the Illinois
Open Meetings Act.

4. Committee of the Whole Meeting
a. Committee of the Whole meetings may be called to give attention to particular
areas of the business of the district. Official decisions of a Board may not be
made at any committee meeting of the Board. An agenda shall be provided for
all Committee of the Whole meetings and shall include the following items:
i. Call to Order
ii. Roll Call
iii. Items for Report and Discussion
iv. Adjournment
b. The Board shall follow the order of business set up by the agenda unless the
order is altered by a majority vote of the members present.
c. An informational period as described in the Policy on Public Participation at
Board of Education Meetings may be provided.
5. Agenda Information
a. All agenda for meetings of the Board shall be prepared by the Superintendent
in consultation with the President of the Board.
b. Items to be considered for inclusion in the agenda may be suggested by any
staff member, district resident, parent or legal guardian of a District 87
student, District 87 students, and non-residents of the district in accordance
with the following procedures:
i. A written request to place an item on the agenda shall be filed
with either the Superintendent or President of the Board, fully
identifying the person or group by name, address, and
telephone number.
ii. This written request shall contain a statement of action desired
by the Board and include the pertinent background
information, which prompted the request.
iii. If the party making such request wishes the item(s) to be
placed on the agenda of a particular Board meeting, the written
request must be filed at least ten calendar days preceding the
meeting.
iv. Inclusion of proposed items on the agenda shall be at the
discretion of the Superintendent and the President of the Board.

v. If a requested item is to be placed on the agenda, the
Superintendent shall set a date for such inclusion as soon as
appropriate and practicable and shall notify the person or group
of the time and place of the meeting at which the item will be
considered.
vi. During the public participation period of the meeting, the
presiding officer shall recognize the individual or spokesman
of the group who requested inclusion of the item on the agenda.
c. Individual Board members may make a written or oral request for an item to
be included in the agenda prior to the preparation of the agenda.
d. The agenda, together with supporting materials, will be distributed to Board
members sufficiently prior to the Board meeting to permit members to give
items of business careful consideration.
i. Multiple copies of the agenda, together with supporting
materials, shall be available for review in the District
Administration Center no later than the Friday before the
Monday Board meeting. These agenda and supporting
materials will be available for use by the audience at the Board
meeting.
ii. A copy of the agenda shall be sent to the local newspapers
prior to the Board meeting.
iii. A copy of the agenda shall be provided to regular Board
meeting observers upon the request of the individual and/or
organization.
Article VIII: Committees
Section 1.
Committee of the Whole
The Board shall function as a committee of the whole upon approval by the Board (See Article
VII, Section 4 a.).
Section 2.
Special Committee
Special committees composed of no more than three members of the Board shall be appointed
upon approval by the Board for a specific period of time or until the completion of a specified
task.

Section 3.
Standing Committees
Standing committees composed of less than the whole Board may be appointed upon approval of
the Board.
Section 4.
The responsibilities and duties of committees composed of less than the whole Board shall be
clearly defined in writing.
Section 5.
The President, with approval of the Board, shall appoint all committees composed of less than the
whole Board.
Article IX: Amendment
The Bylaws shall be amended only at a regular, adjourned, or special meeting of the Board
provided:
1. That the amendment in written form is discussed publicly by the Board.
2. That notice of the amendment is served to the Board as part of the written agenda of the
meeting at which the amendment is adopted.
3. That the amendments are adopted at a meeting subsequent to the meeting at which
discussion of the amendment originally occurred.
Article X: Policy Making
Section 1.
The Board shall establish policies which will direct the Board, the administrative staff, the teaching
staff, and the school community in achieving the educational objectives of the schools.
1. Policies shall follow the Davies/Brickell Policy Codification System.
2. The Superintendent shall be responsible for preparation, maintenance and distribution of
written policies.
3. The Superintendent shall be responsible for planning and researching policy proposals.
The Superintendent shall include members of the Board, staff, students, community, and
legal counsel in planning and research policy proposals when appropriate.
4. The policies of the Board shall be formally reviewed periodically and individual policies
may be reviewed as the need arises.
5. The Superintendent shall provide administrative regulations for implementation of
policies as necessary and shall provide copies to the Board for review.

Section 2.
Policies of the Board shall be amended, adopted or deleted only at a regular, adjourned, or
special meeting provided:
1. That the policy in written form is discussed publicly by the Board at the time of the
first public discussion of the policy, the motion to consider the policy shall include
the statement "First Formal Reading" in accordance with the provisions of Board of
Education Policy 2:240.
2. That the policy is adopted at a meeting subsequent to the meeting of the first formal
reading of the policy , except when appropriate for a consent agenda because no
Board discussion is required, or to meet emergency conditions or special events.
Further Board consideration will be given at a subsequent meeting and after
opportunity for community input.
3. That notice of the proposed first reading or adoption of the policy is served to the
Board as part of the written agenda of the meeting at which the policy is considered
or adopted.
Section 3.
Board policies shall be communicated by the Superintendent to students, staff and community.
1. Copies of all policies and administrative regulations shall be maintained and made
available for review at the Office of the Superintendent.
2. Copies of specific policies and administrative regulations may be provided to
individuals upon request and payment of copy costs.
3. All adopted policies and administrative regulations shall be maintained on the
District's website and may be obtained at any District High School or the District
Administrative Offices.
